Marketing Influencer Collaboration Agereement

Please read the following instructions carefully. You must accept them before the start of marketing collaboration campaign. Accepting these documents to your Collaboration Manager means that:

  • You agree with all the terms and conditions.
  • You you undertake to fulfill all the terms of the agreement.
  • In case of non-compliance you agree that the agreement will be terminated automatically and all the payments will be stopped.

The document is intended to provide general information and guidelines only. It is not
a substitute for legal advice. All promotional campaigns should be analyzed on a case-by-case basis for legal compliance.
The Primeclass and the Influencer agree:
1. Appointment
The Primeclass would like the Influencer’s assistance in promoting / offering / selling the Primeclass` products via Influencer’s social media accounts. The Primeclass hereby appoints the Influencer as its representative on a non-exclusive, non-employee basis to endorse and promote its services to the target audience.
2. Term
This Agreement shall have an initial term of 120 days and shall renew for additional terms thereafter by prior written notice only.
3. Deliverables
The Influencer will deliver the agreed number of posts on the agreed platforms where Influencer`s accounts landed according to the delivery schedule specified by the Primeclass. The Services shall conform to the specifications and instructions of the Primeclass as outlined in detail in the attached Schedule of Services, abide by the rules of the relevant social media platforms, and are subject to the Primeclass' acceptance and approval. The Primeclass has a maximum of 3 working days to reject any deliverable in accordance with this Section and must notify the Influencer within 3 working days of receipt of work that additional revisions and/or amendments will be requested.
4. Cancellation
Either party may terminate this agreement upon 10 days prior written notice if the other party breaches this agreement and does not cure such breach within such time period. In addition to any right or remedy that may be available to the Primeclass under this agreement or applicable law, In addition, in the event that the Influencer has breached this agreement, the Primeclass may (i) immediately suspend, limit or terminate the Influencer’s access to any Primeclass account and/or (ii) instruct the Influencer to cease all promotional activities or make clarifying statements, and the Influencer shall immediately comply. Either party may terminate this agreement at any time without cause upon 15 days prior written notice to the other party.
5. Collateral Details
The Primeclass shall provide the necessary additional content and briefing materials to enable the Influencer to perform the influencer marketing services. If the Influencer has obtained employees or agents (the "Influencer Personnel"), the Influencer shall be solely responsible for all costs associated with the Influencer Personnel.
6. Items to Avoid in Influencer Posts:
The Influencer agrees to abide by all guidelines set in the Brand Rule Guidelines. (For example, all blog posts, social media statuses, tweets, and/or comments should be in good taste and free of inappropriate language and/or any content promoting bigotry, racism or discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age).
7. Approval and Content Origination:
The Influencer understands that all promotions and products they promote as part of this agreement are controlled by the Primeclass. The Influencer assumes all responsibility for verifying that the campaign materials used meet the Primeclass’ approval.
8. Confidentiality and Exclusivity
During the course of the Influencer's performance of services for the Primeclass, the Influencer will receive, have access to and create documents, records and information of a confidential and proprietary nature to the Advertiser and customers of the Primeclass. The Influencer acknowledges and agrees that such information is an asset of the Primeclass or its clients, is not generally known to the trade, is of a confidential nature and, to preserve the goodwill of the Primeclass and its clients must be kept strictly confidential and used only in the performance of the Influencer's duties under this Agreement. The Influencer agrees that he/she will not use, disclose, communicate, copy or permit the use or disclosure of any such information to any third party in any manner whatsoever except to the existing employees of the Primeclass or as otherwise directed by the Primeclass in the course of the Influencer's performance of services under this Agreement, and thereafter only with the written permission of the Primeclass. Upon termination of this Agreement or upon the request of the Advertiser, the Influencer will return to the Primeclass all of the confidential information, and all copies or reproductions thereof, which are in Influencer's possession or control.
9. Compensation
In full consideration of the Influencer’s performance, his / her obligations and the rights granted herein, the Influencer shall be paid by agreed upon between the Influencer and Primeclass. This includes any agreed bonus incentives should the Influencer meet the agreed targets. The Influencer will otherwise perform the services at his/her own expense and use his/her own resources and equipment. The Influencer acknowledges that the agreed upon compensation represents the Influencer’s entire compensation with respect to this agreement and the Primeclass shall have no other obligation for any other compensation to or expenses or costs incurred by the Influencer in connection with the performance of its obligations under this agreement.
10. Material disclosures and compliance with FTC Guidelines
When publishing posts/statuses about the Primeclass products or services, the Influencer must clearly disclose his/her “material connection” with the Primeclass, including the fact that the Influencer was given any consideration, was provided with certain experiences or is being paid for a particular service. The above disclosure should be clear and prominent and made in close proximity to any statements that the Influencer makes about the Primeclass or the Primeclass` products or services. Please note that this disclosure is required regardless of any space limitations of the medium (e.g. Twitter), where the disclosure can be made via Hashtags, e.g. #sponsored. The Influencer’s statements should always reflect the Influencer’s honest and truthful opinions and actual experiences. The Influencer should only make factual statements about the Primeclass or the Primeclass` products which the Influencer knows for certain are true and can be verified.
11. Compensation Terms
Compensation can be made by providing a full access to Food Photography Bootcamp to the Influencer. Access will be opened not later than seven days after the agreed date.
12. Force Majeure
If either party is unable to perform any of its obligations by reason of fire or other casualty, strike, act or order of public authority, act of God, or other cause beyond the control of such party, then such party shall be excused from such performance during the pendency of such cause.
13. Independent Contractor
The Influencer is retained as an independent contractor of the Primeclass. The Influencer acknowledges and agrees that (i) The Influencer is solely responsible for the manner and form by which the Influencer performs under this Agreement, and (ii) The Influencer is a self-employed individual, who performs services similar to the services outlined in the attached Schedule of Services for various entities and individuals other than the Primeclass. The Influencer is responsible for the withholding and payment of all taxes and other assessments arising out of the Influencer's performance of services, and neither the Influencer nor any of the Influencer's employees or independent clients shall be entitled to participate in any employee benefit plans of the Primeclass.
14. Choice of Law
This Agreement shall be construed and enforced pursuant to the laws and decisions of State / Country.

Marketing Tools Instructions

To gain the collaboration goals Influencer must use marketing tools — promo codes and UTM tags.
Promo codes
A promotional code is a series of alphanumeric characters that a consumer can enter to obtain discounts on Primeclass website. These different codes may be part of ongoing or specific marketing campaigns. They may also be applied only to specific products, combinations of products, or a whole order.
How it works
Customers may have received one via a marketing email, public post or direct message.

The discount code will offer a percentage of the product’s price or of total amount at checkout. Or it may be in the form of a specific dollar amount (or GBP), also on product or total. But the promo may not be a direct financial discount. It may also be things like free delivery or specialist gift wrapping at certain times, such as Christmas or Valentine’s Day.

When a Customer reach the checkout process stage of their online transaction, they will nearly always see a box that states “Insert promo code here”. If a Customer have one, they insert his alphanumeric value there, and the site will add the applicable discount or offer to their purchases.
How you as an Influencer can work with promo codes:
  • Publish them openly in public posts: Stories, Feed posts, Tweets, videos etc.
  • Send them manually directly to Customers using messengers.
  • Send them automatically directly to Customers using messenger bots or other tools.
You as an Influencer must use promo codes to provide agreed discount to customers according to Primeclass marketing strategy. You will get all the codes from your Collaboration Manager.
UTM codes
A UTM code is a snippet of simple code that you can add to the end of a URL to track the performance of campaigns and content. There are 5 variants of URL parameters we can track — source, medium, campaign, term and content. Dimensions we track via UTM codes show up in yourour analytics reports to give us a clearer insight into marketing performance.
You as an Influencer must use UTM codes every time you share the link to Primeclass Food Photography Bootcamp website in promotional posts according to Primeclass marketing strategy. You will get all the codes and links from your Collaboration Manager.

Content Commitments & Requirements

As an Influencer you agree to publish the arranged amount of content on your social media business page. This content must be published at the approved time and in the approved form and remain on the page until the end of the cooperation period or termination of the cooperation agreement.
As an Influencer you agree to publish:
  • 1 photo or video post with attached text in your feed.
  • 2 photo Stories in your Story feed
  • 3 video Stories in your Story feed
  • 1 link in your bio that leads to Primeclass Bootcamp landing page
Feed Post Requirements:
  • Feed post must include: photo or a video, text description with call to action leading to link in bio, Primeclass Bootcamp page tags, location tag. Music tag, reminder tag and others are optional and may be added by Influencers will.
  • Photo or video as well as text description must be made by Influencer or taken from Primeclass Media Kit or modified by Influencer from Primeclass Media Kit.
  • Photo or video as well as text description must be created and retouched or edited according to common content style that Influencer provides on their social media business page.
  • Photo or video as well as text description must be related to photography, food, food photography, food traveling, cooking, cook book creation, education online education, self-improvement.
  • Photo or video must be of the best possible quality. They cannot be blurry, pixelated, intentionally dim, cropped, have poor composition, or use the effect of a sloppy photo. They CAN ONLY BE THAT way if the idea for such a marketing hint has been proposed in the Media Kit or negotiated with the Collaboration Manager.
  • Text must contain native ad description, name mentionings: Primeclass, Food Photography Bootcamp, Aleksandr Slyadnev; relevant hashtags from media kit, call to action, and a reference to search for a link in the bio.
  • Text description must be correct in terms of grammar and spelling rules. If text description contains mistakes they have to be corrected not later than one hour after posting.
  • Photo or video or variety of them as well as text description must be native and not cause the effect of cheap targeting.
  • All additional tags must be correct and lead to existing pages, links, locations, people. If tags contain mistakes they have to be corrected not later than one hour after posting.
  • If Feed Post contains mistakes that cannot be fixed by technical reason, this post must be deleted or archived and replaced with correct version according to Posting Frequency agreement.
Story Post Reqirements:
  • Story post must include: photo or a video, text description, Primeclass Bootcamp page tags, location tag. Music tag, reminder tag and others are optional and may be added by Influencers will.
  • Photo or video as well as text description for Story post must be made by Influencer or taken from Primeclass Media Kit or modified by Influencer from Primeclass Media Kit.
  • Photo or video as well as text description for Story post must be created and retouched or edited according to common content style that Influencer provides on their social media business page.
  • Photo or video as well as text description for Story post must be related to photography, food, food photography, food traveling, cooking, cook book creation, education online education, self-improvement.
  • Photo or video for Story post must be of the best possible quality. They cannot be blurry, pixelated, intentionally dim, cropped, have poor composition, or use the effect of a sloppy photo. They CAN ONLY BE THAT way if the idea for such a marketing hint has been proposed in the Media Kit or negotiated with the Collaboration Manager.
  • Text must contain native ad description, name mentionings: Primeclass, Food Photography Bootcamp, Aleksandr Slyadnev; relevant hashtags from media kit, call to action, and a link sticker that leads to Primeclass Food Photography Bootcamp webpage.
  • Text description must be correct in terms of grammar and spelling rules. If text description contains mistakes they have to be replaced with correct version according to Posting Frequency agreement.
  • Photo or video or variety of them as well as text description must be native and not cause the effect of cheap targeting.
  • All additional tags must be correct and lead to existing pages, links, locations, people. If tags contain mistakes they have to be replaced with correct version according to Posting Frequency agreement.
Posting Frequency by default is:
  • Stories are posted on Mondays and Wednesdays at 9 a.m and 3 p.m. (according to your time zone)
  • Feed posts are posted on Tuesdays and Thursdays at 10 a.m and 5 p.m (according to your time zone)
If you as Influencer or your Collaboration manager want to change your schedule due to your social media business page statistics, you have to inform each other about that through email at least 24 hours before the next scheduled post.

Content Approval Process

Every post or Stories series meant for Primeclass collaboration goals has to be approved by Primeclass Influencer Manager.
How the approval process works:
  1. As an Influencer you must show any collaboration content to your Collaboration Manager before posting it.
  2. Content must be submitted for approval no later than 72 hours before publication according to the Posting Frequency agreement.
  3. For situational content, the approval period is 24 hours or less.
  4. Collaboration Manager must give you an approval no later than 24 hours before publication according to the Posting Frequency agreement. For situational content, the approval period is 12 hours or less.
  5. Collaboration Manager always checks all the posted content. If they find a mistake or inconsistency with the agreement, they will notify you with a correction request.
If the conditions of the process are not fulfilled by the Influencer and are not regulated by communication with the Collaboration Manager, Primeclass will terminate the cooperation.

This process can be сhanged by discussing with your Collaboration Manager if you as an Influencer have better process for better results.
